TERMS AND CONDITIONS
NO PURCHASE IS NECESSARY TO ENTER OR WIN. A PURCHASE DOES NOT INCREASE THE CHANCES OF WINNING. THIS SWEEPSTAKES (AS DEFINED BELOW) IS INTENDED TO COMPLY WITH ALL APPLICABLE FEDERAL, NEW JERSEY, AND NEW YORK CONSUMER PROTECTION LAWS.
1. Eligibility: The MamaMancini’s x Brooklyn Bred 4th of July Giveaway (the "Sweepstakes") is
open only to those who follow both brands on Instagram at time of winner selection, like the
giveaway post (posted on June 20th, 2025), and comment a minimum of one (1) time on the
giveaway post (posted on June 20th, 2025). The Sweepstakes is open to the legal
residents of the Fifty (50) United States and the District of Columbia who are at least eighteen (18) years old at the time of entry. This promotion is void in jurisdictions where such sweepstakes are prohibited, including Puerto Rico, overseas U.S. territories, and outside the United States. Employees of Mama’s Creations, Inc. and Brooklyn Bred (collectively, the "Sponsors"), their respective affiliates, subsidiaries, advertising and promotion agencies, suppliers and their immediate family members and/or those living in the same household of each are not eligible to participate in the Sweepstakes. These official rules and all related terms are referred to herein as these “Terms and Conditions.” The Sweepstakes is subject to all applicable federal, state and local laws and regulations. Void where prohibited.
2. Agreement to Rules: All participants of the Sweepstakes (each a “Participant” and collectively, the “Participants”) agree to be fully unconditionally bound by these Rules, and the Participants represent and warrant that each Participant meets the eligibility requirements set forth herein. In addition, each Participant agrees to accept the decisions of the Sponsors, as final and binding as it relates to the content. The Sweepstakes is subject to all applicable federal, state and local laws. In addition, the Participants agree and acknowledge that each Participant is subject to the laws of the State of New York and the State of New Jersey, including, but not limited to, consumer protection statutes such as N.Y. Gen. Bus. Law § 349 and N.J.S.A. § 56:8-2.
3. Sweepstakes Period: Entries will be accepted online starting on or about
06/20/2025 at 00:09:00 and ending 06/24/2025 at 23:59:00. All online entries must be received
by 06/24/2025 at 23:59:00. All times are Eastern Standard Time.
4. How to Enter: The Sweepstakes must be entered by following both Sponsors’ Instagram accounts, liking the giveaway post (posted on 06/20/2025), and commenting a minimum of one (1) time on the giveaway post (posted on 06/20/2025). The entry must fulfill all Sweepstakes requirements, as specified, to be eligible to win a prize. Each Participant will automatically receive one (1) entry into the Sweepstakes for fulfilling all Sweepstakes entry requirements. Entries that are not complete or do not adhere to the rules or specifications may be disqualified at the sole discretion of the Sponsors. BONUS ENTRIES: After the Participants meet the Sweepstakes entry requirements, the Participants are invited to take actions including: Sharing the giveaway post to Instagram and/or Facebook stories (one additional entry per share), Comment more than one (1) time (one additional entry per comment). For each action taken by a Participant, such Participant will receive one additional bonus entry into the Sweepstakes: ENTRY LIMIT: One (1) Sweepstakes entry per person and up to [ten (10)] Bonus Entries per person during the Sweepstakes Period. Each Participant may enter only once and each
Participant must complete the steps requested. Participants may not enter more times than
indicated by using multiple social media accounts/identities or devices in an attempt to
circumvent the rules. If a Participant uses fraudulent methods or otherwise attempt to
circumvent the rules, a Participant’s submission may be removed from eligibility at the sole
discretion of the Sponsors. Alternate Means of Entry (“AMOE”): To enter without using Instagram, a Participant may send a postcard with the Participant’s full name, mailing address, email address, and phone number to: MamaMancini’s x Brooklyn Bred Giveaway, c/o Mama’s Creations, Inc., 25 Branca Rd, Suites B & C, East Rutherford,NJ. All mail-in entries must be received by June 24, 2025. Each Participant through an AMOE will receive one (1) entry. No purchase is necessary to enter or win. A purchase does not increase the chances of winning.
5. Prizes and Approximate Retail Value (“ARV”): Three (3) Participants
shall be selected by Sponsors at random, and each shall with the following Grand Prize: One
(1) Six (6) pack of MamaMancini’s 16oz Meatballs and Two (2) 15oz Traditional Pizza Crusts (2
per pack). Participants are not guaranteed to win a prize and each Participant’s chance of winning is dependent on the total number of eligible entries received. Actual/appraised value may differ at time of prize award. For the avoidance of doubt, the ARV and the actual/appraised value of the prizes listed above shall not exceed Five Thousand and 00/100 Dollars ($5,000.00). The specifics of the prize shall be solely determined by the Sponsors. No cash or other prize substitution permitted except at Sponsors’ discretion. The prize is nontransferable. Any and all prize related expenses, including without limitation any and all federal, state, and local taxes associated with the receipt of any prize shall be the sole responsibility of the winner. No substitution of prize or transfer/assignment of prize to others or request for the cash equivalent by winners is permitted. Acceptance of prize constitutes permission for the Sponsors to use winner's name, likeness, and entry for purposes of advertising and trade without further compensation, unless prohibited by law.
6. Odds: The odds of winning depend on the number of eligible entries received during the entire Sweepstakes Period (including Bonus Entries).
7. Winner selection and notification: Winners of the Sweepstakes will be selected in a random
drawing on or about June 25, 2025 from among all eligible entries received during the entire
Sweepstakes Period (including Bonus Entries) under the supervision of the Sponsor. Winners will be notified via (i) direct message on Instagram, (ii) the contact method provided in the AMOE within five (5) days following the winner selection. The Sponsors shall have
no liability for a winner's failure to receive notices due to winners' spam, junk e-mail or other
security settings or for winners' provision of incorrect or otherwise non-functioning contact
information. If the selected winner cannot be contacted, is ineligible, fails to claim the prize
within fifteen (15) days from the time award notification was sent, or fails to timely return a
completed and executed declaration and releases as required, prize may be forfeited and an
alternate winner selected. The receipt by winner of the prize offered in this Sweepstakes is
conditioned upon compliance with any and all federal and state laws and regulations. ANY
VIOLATION OF THESE OFFICIAL RULES BY ANY WINNER (AT SPONSOR'S SOLE DISCRETION) WILL
RESULT IN SUCH WINNER'S DISQUALIFICATION AS WINNER OF THE SWEEPSTAKES AND ALL
PRIVILEGES AS WINNER WILL BE IMMEDIATELY TERMINATED.
8. Rights Granted by the Participants: By entering this Sweepstakes, the Participant understands that the Sponsors, anyone acting on behalf of the Sponsors, or its respective licensees, successors and assigns will have the right, where permitted by law, without any further notice,
review or consent to print, publish, broadcast, distribute, and use, worldwide in any media now
known or hereafter in perpetuity and throughout the world, the Participant’s entry,
including, without limitation, the entry and winner's name, portrait, picture, voice, likeness,
image or statements about the Sweepstakes, and biographical information as news, publicity or
information and for trade, advertising, public relations and promotional purposes without any
further compensation. Except where prohibited, entry into the Sweepstakes constitutes the
Participant’s consent to such use, and no compensation other than the prize shall be due.
9. Terms: The Sponsors reserve the right, in their sole discretion to cancel, terminate, modify or suspend the Sweepstakes should (in their sole discretion) a virus, bugs, non-authorized human intervention, fraud or other causes beyond its control corrupt or affect the administration, security, fairness or proper conduct of the Sweepstakes. In such case, the Sponsors may select the recipients from all eligible entries received prior to and/or after (if appropriate) the action taken by the Sponsors. The Sponsors reserve the right at its sole discretion to disqualify any
individual who tampers or attempts to tamper with the entry process or the operation of the
Sweepstakes or website or violates these Terms & Conditions. The Sponsors have the right, in their sole discretion, to maintain the integrity of the Sweepstakes, to void votes for any reason, including, but not limited to; multiple entries from the same user from different IP addresses; multiple entries from the same computer in excess of that allowed by Sweepstakes rules; or the use of bots, macros or scripts or other technical means for entering. Any attempt by an entrant to deliberately damage any web site or undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil laws and should such an attempt be made, the Sponsors reserve the right to seek damages from any such person to the fullest extent permitted by law.
10. Limitation of Liability: By entering the Sweepstakes, Participant agrees to release
and hold harmless the Sponsors, and their subsidiaries, affiliates, advertising and promotion agencies, partners, representatives, agents, successors, assigns, employees, officers and directors from any liability, illness, injury, death, loss, litigation, claim or damage that may occur, directly or indirectly, whether caused by negligence or not, from (i) such entrant's participation in the Sweepstakes and/or his/her acceptance, possession, use, or misuse of any prize or any portion thereof, (ii) technical failures of any kind, including but not limited to the malfunctioning of any computer, cable, network, hardware or software; (iii) the unavailability or inaccessibility of any transmissions or telephone or Internet service; (iv) unauthorized human intervention in any part of the entry process or the promotion; (v) electronic or human error which may occur in the administration of the promotion or the processing of entries. Nothing in this Section 10 shall be construed to limit or exclude liability for gross negligence, fraud, or willful misconduct.
11. Disputes: THIS SWEEPSTAKES IS GOVERNED BY THE LAWS OF United States, New
York and New Jersey, WITHOUT RESPECT TO CONFLICT OF LAW DOCTRINES. As a condition of
participating in this Sweepstakes, each Participant agrees that any and all disputes
which cannot be resolved between the parties, and causes of action arising out of or connected
with this Sweepstakes, shall be resolved individually, without resort to any form of class action,
exclusively before a court located in New Jersey having jurisdiction. To the fullest extent permitted by law, each Participant further agrees that under no circumstances will Participant be permitted to obtain awards for, and hereby waives all rights to claim, punitive, incidental, or consequential damages, including reasonable attorneys' fees, other than actual out-of-pocket expenses (i.e., costs associated with entering this Sweepstakes). To the fullest extent permitted by law, each Participant further waives all rights to have damages multiplied or increased.

15. This promotion is in no way sponsored, endorsed or administered by, or associated with Meta Platforms, Inc., Facebook, Instagram. The Participant understands that the Participant is providing information to the owner of the Sweepstakes and not to Meta Platforms, Inc.,
Facebook, Instagram. By entering, Participant agrees to release Meta Platforms, Inc. of any responsibility and agrees to Instagram’s terms of use.
